1.1 Overview & Acceptance
These Terms govern your access to and use of AVBuilder’s websites, applications, APIs, and related services (the Services). By using the Services, you agree to these Terms. If you use the Services on behalf of an organization, you represent that you have authority to bind that organization and its users. If you do not agree, do not use the Services.
Age. The Services are intended for business use by individuals 18+. We do not knowingly provide the Services to children under 16 or to anyone under 18 in the United States.
1.2 Key Definitions
- Account: A registered user profile for access to the Services.
- Customer Data: Data uploaded or provided by you (e.g., CAD/BIM plans, BOMs, pricing, templates, room specs, integrations with CRM/ERP/PSA, content and metadata).
- Generated Output: Content produced by AVBuilder AI/ML models or automation based on prompts, templates, or inputs.
- Documentation: User guides, help content, implementation notes, and APIs published by AVBuilder.
- Order: An executed online purchase, subscription, or SOW specifying plan, term, quantity, and pricing.
1.3 Accounts & Admins
You must provide accurate account information and keep credentials secure. Admins you designate control seats, permissions, and data flows for your organization.
1.4 License & Use of the Services
Subject to payment and compliance with these Terms, AVBuilder grants you a limited, non-exclusive, non-transferable license to access and use the Services for your internal business purposes during the subscription term. You may not: (a) reverse engineer or circumvent technical limits; (b) use the Services to develop competing models or datasets; (c) resell, rent, or time-share the Services; (d) interfere with or disrupt the Services or other users; (e) use the Services to process Prohibited Content (see §1.8 and Community Guidelines).
1.5 Ownership
Your Data. You retain any rights you hold in Customer Data. You grant AVBuilder a worldwide, royalty‑free license to host, process, transmit, and display Customer Data solely to provide and improve the Services, comply with law, and prevent fraud/abuse.
Generated Output. As between you and AVBuilder, you own your Generated Output to the extent permitted by law. AVBuilder and its licensors retain rights in underlying models, software, and training artifacts. You are responsible for evaluating the accuracy and suitability of Generated Output and for obtaining any third‑party permissions required for your use.
1.6 Feedback
If you provide feedback, ideas, or suggestions, you grant AVBuilder a perpetual, worldwide, irrevocable license to use and incorporate them without obligation.
1.7 Third‑Party Services
The Services may interoperate with third‑party tools (e.g., AWS, Stripe, Google Analytics, HubSpot/Salesforce CRM, CAD/BIM apps like AutoCAD/Revit). Use of third‑party services is governed by their terms; AVBuilder is not responsible for them. Links do not imply endorsement.
1.8 Prohibited Uses & Content
You agree not to use the Services to:
- Violate law or third‑party rights (IP, privacy, export, or sanctions).
- Generate or upload content that is unlawful, defamatory, harassing, hateful, exploitative, incites violence, sexually abusive or pornographic, or targets minors.
- Seek or provide instructions for illegal or dangerous activities, or create malware or exploit vulnerabilities.
- Collect sensitive personal data without a lawful basis and appropriate safeguards.
- Attempt to bypass safety filters, rate limits, or access controls.
- Impersonate others or misrepresent affiliation; submit infringing CAD/BIM or brand assets.
- Use the Services for life‑critical or medical/therapeutic purposes.
1.9 AI/ML Specific Notices
AVbuilder uses artificial intelligence to generate signal flow diagrams, equipment lists, cable schedules, and compatibility reports. All Generated Output is AI-assisted and provided as a starting point for professional AV system design.
Accuracy. Generated Output may be incomplete, inaccurate, or unsuitable for your specific application. Equipment specifications, compatibility assessments, and system configurations should always be verified against current manufacturer documentation before use in any design, proposal, or installation.
Professional responsibility. Generated Output does not constitute professional engineering advice. You are responsible for reviewing, validating, and approving all AI-generated designs before delivering them to clients or using them in any installation. Professional standards of care, applicable building codes, and industry standards (including AVIXA guidelines) remain your responsibility.
Verification required. Before relying on any Generated Output, you should independently verify: equipment model availability and specifications, port and protocol compatibility, power and network requirements, cable types and lengths, and compliance with applicable codes and standards.
1.10 Beta / Experimental Features
We may offer alpha or beta features. They are provided as‑is, may be rate‑limited, and may change or be discontinued without notice. You assume all risk in using beta features.
1.11 Plans, Billing & Taxes
Paid subscriptions auto‑renew each term unless canceled. Prices, packaging, and features may change; we will notify you of price increases at least 30 days before renewal. Fees are non‑refundable except where required by law. You are responsible for applicable taxes.
1.12 Suspension & Termination
We may suspend or terminate access for breach, risk to the Services, non‑payment, legal compliance, or per policy. You may cancel at any time; upon termination, your access ends and we may delete or disable access to your account data after a retention period described in the Privacy Policy.
1.13 DMCA / IP Complaints
We respect IP rights and respond to notices under the DMCA or applicable law. Submit notices to: DMCA Agent, AVBuilder, Inc., [Address], [Email]. Counter‑notices must include the required information and consent to jurisdiction where applicable.
1.14 Confidentiality & Security
Each party may receive non‑public information from the other. The receiving party will protect it and use it only as permitted. We implement reasonable administrative, technical, and physical safeguards appropriate to the nature of the data processed.
1.15 Warranties & Disclaimers
The Services and Generated Output are provided “AS IS” and “AS AVAILABLE.” To the maximum extent permitted by law, we disclaim all warranties, express or implied (merchantability, fitness for a particular purpose, non‑infringement, and accuracy of outputs).
1.16 Indemnification
You will defend and indemnify AVBuilder and its affiliates against third‑party claims arising from your use of the Services, Customer Data, or breach of these Terms, including reasonable attorneys’ fees.
1.17 Limitation of Liability
To the maximum extent permitted by law, AVBuilder will not be liable for indirect, special, incidental, consequential, exemplary, or punitive damages, or lost profits, revenues, or data. Our aggregate liability for all claims arising out of or related to the Services will not exceed the amounts paid by you for the Services in the 12 months before the event giving rise to liability.
1.18 Dispute Resolution; Governing Law
[Option A – Arbitration] Any dispute will be resolved by binding arbitration administered by JAMS under its Streamlined Rules. Seat/venue: San Francisco, California. Either party may seek injunctive relief in a court of competent jurisdiction for IP or misuse. Class actions and jury trials are waived.
[Option B – Courts] Governing law of Delaware; exclusive jurisdiction and venue in state or federal courts located in San Francisco, California.
1.19 Changes to Terms
We may modify these Terms. If changes are material, we will provide notice (e.g., email, in‑app, or website). Continued use after the effective date constitutes acceptance.
1.20 Miscellaneous
Assignment with consent (not unreasonably withheld); affiliates may perform obligations. Force majeure applies. If any provision is unenforceable, the remainder stays effective. No waiver unless in writing. These Terms, Orders, and incorporated policies form the entire agreement.
Community Guidelines
Purpose. Keep AVBuilder professional, safe, and useful for the AV community.
3.1 Be Professional & Respectful
- No harassment, hate, threats, doxxing, or personal attacks.
- Disagree on ideas, not people. Keep discussions about AV design, costing, workflows, and integrations.
3.2 Keep It Legal & Safe
- No illegal content; no instructions facilitating crimes, hacks, or unsafe deployments.
- No sexually explicit, exploitative, or pornographic content. Absolutely no sexual content involving minors.
- No sharing of confidential bid info or third‑party IP without permission.
3.3 Accurate & Responsible Use of AI
- Review AI outputs before use in proposals, drawings, or SOWs. Label mockups and drafts.
- Do not misrepresent AI‑generated content as certified engineering or sealed documents.
3.4 Spam, Promotions, and Self‑Promotion
- Limited vendor promotion is allowed in designated spaces. No spam, scams, or deceptive behavior.
3.5 Impersonation & Misrepresentation
- Do not impersonate people or companies. Parody must be labeled and never confuse readers.
3.6 Moderation & Enforcement
We may remove content, restrict features, or suspend accounts to protect users and comply with law. Repeated or severe violations may result in termination.
3.7 Reporting
Use in‑product reporting or email abuse@avbuilder.ai with links and details. For urgent safety issues, contact local authorities first.
